The Developer's Cut version is the upgrade; it is essentially DKS with a couple extra bug fixes and an optional 'Developer Mode' cheat window.

The Developer Mode can be fun to play around with even if you don't want to cheat in the game: it allows you to morph into a selection of NPCs and creatures (though you can not engage in combat when morphed), teleport various places (and get into areas you wouldn't be able to see otherwise), spawn a limited selection of opponents, as well as the usual god mode and gold / item / equipment / stat / skill / etc cheats.

That was the detail. There was no changelist released for D2:DC; the save format was changed, so D2:DC can load DKS saves, but not vise versa, there were a couple relatively rare bugs in DKS that are rarer in D2:DC, and D2:DC got a hotfix to allow inverting the Y axis in dragon form.
There are also some extras that come with D2:DC (documentary video, though that is also on YouTube, design documents, soundtrack, etc).

If you have a choice, there is no reason not to get D2:DC. If you already had DKS installed, then there wouldn't be much incentive to download D2:DC if you didn't want to try the Developer Mode cheat functions.
