Same exact thing is happening to me. Windows 8 64 bit, game encounters problem and never opens.
I installed the game on Win8-Pro/64bit and it starts without problems here. Privilege level in the properties for the desktop icon (Panzer General 2 Properties) shows 'Run this program as an administrator'. No compatibility mode set.
I was having this problem, too. Installing DirectX 9 seems to have fixed it for me:

Update: I also had to remove ddraw.dll from the install folder in order to get OpenGeneral to work (I just renamed it to ddraw.dll.bak).

First of all: PG2 can be configured to run on Windows 8 64-bit. What's more, it doesn't need a DirectDraw fix as on Windows 7.

But now listen to me: without knowing what your EXACT problem is, how do you think we can help you? Nobody can guess your problem, if you just write that something "dont work". I will not teach you this time how to ask for help, I'll just write the most common PG2 problem here:

When you try to start the game, windows closes it and display a message that the application stopped working. To fix it, go to the installed game folder, and rename ddraw.dll and d3dx9_42.dll files to something else (for example: ddraw.dll.sav, and d3dx9_42.dll.sav). After that the game won't crash (at least not for this reason).

Please let me know if this fixes your problem. If not, we will continue the investigation.

I am on Windows8 64bit. I tried the fix listed by Trevize, but it was unsuccessful. However, installing DirectX 9 fixed it for me as well.

Interestingly, the game worked fine for me in Windows 8.1 Preview. I installed the release version of 8.1 today and PZ2 broke.

I used Trevize's recommendation and the game is now working in 8.1

Many thanks, this solved my problem!! I'm running Win8.1 Update (64bit) on a laptop.
